The Schneider Electric PTC acquisition is an all-cash deal at $205 a share, valuing PTC’s equity at about $22.6 billion. Schneider announced it on Oct. 5, according to the PTC news release. The companies expect it to close by the third quarter of 2027.

Schneider Electric PTC acquisition: key numbers

Item Figure
Price per share $205 in cash
Premium to last close 42.3%
Equity value About $22.6 billion (€20.1 billion)
Enterprise value $23.7 billion (€21.1 billion)
Annual cost savings by year 3 €250 million
Expected added revenue About €800 million
Expected close By Q3 2027

What Schneider is paying

The $205 price is a 42.3% premium to PTC’s last closing price. It is a 46.1% premium to the 30-trading-day volume-weighted average price before the announcement. The enterprise value is $23.7 billion. Schneider puts that at 21 times 2027 expected adjusted EBITA, or 13 times once the full savings are counted.

Both boards approved the deal unanimously. PTC’s board recommends that shareholders approve it. PTC shareholders who hold a majority of its shares must vote yes at a special meeting. Regulators also have to sign off.

How Schneider will pay for it

The cash consideration is about €22 billion. A fully committed bridge facility from Morgan Stanley and Société Générale backs it. Schneider plans to fund roughly €5 billion to €6 billion with equity and €16 billion to €17 billion with new debt in several currencies. The equity portion would come through an accelerated bookbuild under an existing shareholder authorization.

Schneider expects the deal to add a low single-digit percentage to adjusted earnings per share in the first full year, before purchase price accounting. Counting the full savings, it expects a mid-to-high single-digit gain.

What PTC brings to Schneider

The Schneider Electric PTC acquisition would bring in a Boston company with more than 7,000 employees and more than 30,000 customers. PTC’s software helps manufacturers design, build and maintain products. PTC reported about €2.4 billion in revenue for 2025, with an adjusted EBITA margin near 40%. Schneider expects PTC’s revenue and annual recurring revenue to grow about 10% a year through 2029.

Schneider already runs an industrial software business through its AVEVA unit. The company says PTC extends its asset lifecycle platform into product design and engineering. Schneider CEO Olivier Blum called the deal an important step in its push to lead in energy and industrial intelligence. PTC CEO Neil Barua said joining Schneider lets PTC expand into more regions and end markets.

Schneider also has a proposed acquisition of Cognite, announced in June. The companies say PTC and Cognite together would strengthen Schneider’s industrial AI data foundation.

Savings and timeline

The Schneider Electric PTC acquisition rests on two sets of numbers: cost savings and added revenue.

Schneider expects €250 million in annual run-rate cost savings by year three. It also expects about €800 million in added revenue. It says the return on capital from the deal should exceed its cost of capital by year five.

The deal is one of several large technology purchases in recent weeks. The Jolt Journal covered Proofpoint’s $6.3 billion offer for Varonis and the Copart ACV acquisition, which closed in five weeks. This one is much larger and will take far longer.

What to watch next

The next steps are the PTC shareholder vote and regulatory reviews. The release gives no date for the vote. It also does not state a termination fee. The release says only that regulatory approvals are required, and it does not list which regulators. Schneider’s bridge loan and the planned equity raise will show how it manages its balance sheet while the deal is pending. The Schneider Electric PTC acquisition will not close until both steps are done.
